ENROLLMENT INSTRUCTIONS

Welcome to SunShare!

To begin your enrollment and reserve your space in a community solar garden, you’ll be asked to sign four documents:

        • your SunShare Community Solar Services Agreement with us;
        • two forms required by Xcel Energy, authorizing us to evaluate your past electricity usage to determine the size of your community solar subscription and to place you into a community solar garden so that you will receive Bill Credits on your utility bill; and
        • an eligibility qualification form, which may be completed by you or another party on your behalf.

Please sign each of these documents, and note that the documents need to be signed by the Primary Account Holder on your utility account.

Please note that this Agreement includes hyperlinks to Attachments for your review. You can access them at the following link: SSA Attachments. There is no need to sign any of these attachments at this time; they are included for informational purposes only.

SunShare considers our subscriber contract a confidential, non-public document. Therefore, please do not disclose this document to non-affiliated third parties (including posting it on the Internet), except your family members, attorney, or others with a bona fide need to review. NOTE THAT YOU MAY CANCEL WITHIN THREE BUSINESS DAYS OF SIGNING THIS AGREEMENT.

SUMMARY OF SPECIFIC TERMS

Billing: Once your community solar garden is active, you'll receive two (2) bills every month ─ one from SunShare and one from Xcel Energy. You have the option to enroll in Autopay to ensure that you never miss a payment. Your SunShare bill will always be 20% less than the Solar Bill Credits applied to your Xcel Energy bill!

Eligibility: Your participation requires that you meet criteria based on your income or participation in an Energy Assistance Program. Your eligibility will be verified by an approved organization. You are not required to enroll in Autopay, although you have the option to do so at the time of your enrollment or at any point during the Term of your Agreement. SunShare will not perform a Credit Check.

Autopay: SunShare recommends that you enroll in Autopay so that you never miss a payment. If you have elected Autopay, you will be automatically enrolled in Autopay for your first SunShare bill after you have been placed into a community solar garden.

Agreement Term: The length of your SunShare agreement is simply the length of the agreement between SunShare and Xcel Energy to deliver solar energy onto the power grid. This is also the length of time for which you are guaranteed to receive Bill Credits from Xcel Energy on your utility bill.

Bill Credit Rate: The Bill Credit Rate is the rate you will receive on your Xcel Energy utility bill for each kilowatt hour of electricity the community solar garden generates on your behalf. Typically, the bill credit rate changes every year.

SunShare Community Solar Rate: This is the rate you will pay to SunShare for each kilowatt hour of electricity the community solar garden generates on your behalf.  It will be 20% lower than the Bill Credit Rate you receive on your Xcel Energy utility bill for each kilowatt hour of electricity the community solar garden generates on your behalf. Typically, the Bill Credit rate changes every year, and your community solar rate will be adjusted accordingly. Regardless of the Bill Credit rate, your SunShare bill will be 20% less than the Bill Credits you receive for the given production month!

Cancellation Options: You can cancel with 90 days’ prior written notice with no penalty.

Other Important Items: THIS IS NOT AN INVESTMENT CONTRACT OR SECURITY. WE ARE NOT A COOPERATIVE. YOU ARE NOT AN OWNER OF US OR THE SOLAR GARDEN.

 

COMMUNITY SOLAR SUBSCRIPTION TERMS & CONDITIONS

  1. Terms of Service. By signing this Agreement, you agree to the Terms of Service.
  2. Effective Date; Term. This Agreement is effective upon execution. Your XCEL ENERGY account number will be validated in XCEL ENERGY’s portal for the Solar Garden. After that validation, you will start to receive Bill Credits from XCEL ENERGY toward your retail electric service bill (your “Bill Credits”). The first day of the month that you receive Bill Credits is referred to as the “Commencement Date.” The term of this Agreement starts on the Commencement Date, and continues for 240 calendar months after the commercial operation date (“Commercial Operation”) of the Solar Garden, unless you give us at least 90 days prior written notice of your desire to terminate this Agreement (the “Term”). While this Agreement is effective when signed, the Term does not begin until the Commercial Operation Date of the Solar Garden to which you are assigned. The Commercial Operation Date may occur before or after you are assigned to the Solar Garden. The rate applicable to your Monthly Subscriber Payment will be based on the Bill Credit rate in effect at the time you begin receiving Bill Credits. Our responsibility to facilitate the application of Bill Credits by XCEL ENERGY will terminate at the end of the Term.
  3. Customer’s Production Capacity. You are subscribed to the amount of production capacity (your “Production Capacity”), in kilowatts, based on a percentage of your historic annual energy use. We will set your Production Capacity at the percentage of your historic annual electricity use shown on the cover page of this agreement, and may adjust it from time to time based on changes in your usage. We measure the amount of solar energy produced by your Production Capacity in kWh and refer to that energy in this Agreement as your “Solar Energy.”
  4. Monthly Payments. Unless otherwise set forth in this Agreement, the payment amount you owe us (“Monthly Subscriber Payment”) during the Term is equal to the kWh of Solar Energy produced and delivered from the Solar Garden to XCEL ENERGY during a production month, multiplied by the price per kWh in effect during the month in which the production occurs. Your Monthly Subscriber Payment Schedule will be calculated based on the applicable Bill Credit rate in effect at the time of each monthly bill. You will only be charged a Monthly Subscriber Payment for Bill Credits you receive. You agree to pay the full Monthly Payment by the Due Date on your invoice. We prefer you make monthly payments through automated funds transfer and may charge a processing fee to cover the cost of accepting your payment by credit card, debit card, or check.
  5. Late Payments; Disputed Invoices. If you pay us late (after the Due Date listed on your invoice), we have the right to charge you interest on the unpaid balance at the rate of two percent (2%) per month, or at any lesser maximum rate permitted by law, until you have fully paid your past due balance. If you dispute all or a portion of an invoice from us, or if any other claim or adjustment arises under this Agreement, you agree to pay the undisputed portion when due and provide us with notice of the amount in dispute. We will endeavor to mutually resolve the dispute as provided in the Dispute Resolution Section of our Terms of Service.
  6. Changes in Your Participation. You may reallocate, transfer, or reduce your Production Capacity as follows:
    1. Substitution of New Premises. You may transfer your subscription to your own or another person’s new Location, provided the proposed Location meets our eligibility requirements and such other person consents to this transfer, as determined at our sole discretion.
    2. Unexpected Contingencies. If you move outside XCEL ENERGY’s service territory, die, or otherwise lose your ability to receive Bill Credits without first transferring your Production Capacity to an eligible transferee, we will cancel this Agreement upon notification that you are no longer receiving Bill Credits. You will only be charged a Monthly Subscriber Payment for Bill Credits you receive.
    3. Termination. If you desire to transfer or assign your Production Capacity in the Solar Garden and have not identified a transferee, we will, upon your request, attempt to identify eligible and willing transferee(s) to whom we can transfer or assign all or a portion of your Production Capacity in a timely manner. You will remain obligated under this Agreement until a transferee becomes your replacement subscriber to the Solar Garden, or 90 days, whichever is shorter.
  7. NOTICE OF RIGHT TO CANCEL. YOU MAY CANCEL THIS TRANSACTION FOR ANY REASON BY DELIVERING NOTICE TO US PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DATE OF THIS TRANSACTION.
