MISSION OF ROLE:
SunShare is seeking an experienced Project Finance Attorney to join our legal team. The successful candidate will play a critical role in structuring, negotiating, and closing project financing transactions for our community solar projects. This position requires a deep understanding of project finance, renewable energy, and related legal and regulatory frameworks.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
• Structure and negotiate debt and equity financing for community solar projects.
• Collaborate with banks, investors, and other financial institutions to secure funding.
• Draft and review financial agreements, including loan agreements, power purchase agreements (PPAs), and investment contracts.
Legal Compliance:
• Ensure compliance with federal, state, and local regulations related to solar energy and project financing.
• Advise on tax incentives and credits available for solar projects, such as the Investment Tax Credit (ITC).
• Monitor and interpret changes in relevant laws and regulations. Contract Management:
• Draft, review, and negotiate contracts with suppliers, contractors, and customers.
• Manage legal aspects of land acquisition, leases, and easements for solar project sites.
Risk Management:
• Identify and mitigate legal and financial risks associated with solar projects.
• Conduct due diligence on potential projects and investments. Collaboration and Communication:
• Collaborate with internal teams, including project developers, engineers, and finance professionals.
• Communicate with external stakeholders, such as government agencies, community organizations, and legal counsel.
Dispute Resolution:
• Manage disputes and litigation related to project financing and development.
• Negotiate settlements and represent the company in legal proceedings.
Strategic Planning:
• Advise on the financial and legal implications of strategic decisions and business development initiatives.
• Support the development of new business models and financing structures for community solar projects.
SPECIFIC REQUIREMENTS AND EXPERIENCE:
• Juris Doctor (JD) degree from an accredited law school.
• Minimum of 5-7 years of experience in project finance, preferably within the renewable energy sector.
• Strong understanding of project finance structures, financial instruments, and investment vehicles.
• Excellent negotiation, drafting, and analytical skills.
• Ability to manage multiple projects and priorities in a fast-paced environment.
• Strong interpersonal and communication skills.
• Commitment to SunShare’s mission and values.
Preferred Qualifications:
• Experience with community solar or other renewable energy projects.
• Familiarity with federal and state renewable energy incentives and regulations.
• Proven track record of successfully closing complex financing transactions.
COMPENSATION & BENEFITS
• The annual salary range for this role is $130,000 – $180,000 and is based on factors such as location, and level of experience
