MISSION OF ROLE: 
We are seeking a talented and highly motivated attorney to lead our project finance efforts. Given SunShare’s position as a leader in the fastest-growing sector of the renewable energy space and role in shaping first-of-its-kind regulations in state markets, the Project Finance Attorney will need to be a leader- adept at both offensive and defensive strategy and tactics, and up to the task of improving upon the established legal framework for the company. He/she will report directly to the Chief Legal Officer and be responsible for being the project finance advisor to the finance team. The Project Finance Attorney will be responsible for leading project finance transactions and external legal professionals. Long-term success in this role will require an individual capable of managing multiple transactions simultaneously and handling other overflow general legal work.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

    • Attend to all aspects and issues related to renewable project development and financing, with a special focus on financing of solar/solar plus storage projects.
    •  Structure, draft review and effectively negotiate debt and equity financing structures, including portfolio financing structures, back-leverage debt, tax equity partnership documents.
    •  Structure, draft, review and effectively negotiate membership interest purchase and sale agreements.
    • Perform diligence and provide diligence guidance to development teams and external counsel regarding project acquisition and greenfield development.
    • Provide general legal support to finance, business development, construction and operations teams in the deployment of renewables projects.
    • Effectively and efficiently engage and manage outside counsel.
    • Identify and manage appropriate external legal counsel based on company and transaction needs.
    • Drives the continuous improvement of standard form agreements and legal processes.
    • While the position is remote, the Project Finance Attorney must travel to the corporate headquarters in Denver, Colorado on a quarterly basis, or more often as needed. Must reside within the contiguous United States with easy direct flight commute to Denver, Colorado. 


    SPECIFIC REQUIREMENTS AND EXPERIENCE:

    • 6+ years of experience at a large law firm or comparable in-house corporate environment with a sophisticated corporate finance practice (including tax equity, construction, development, and other types of financing facilities).
    • Experience managing a deal and all of its deliverables.
    • Strong experience in project finance with renewables or distributed energy resources.
    • Experience leading a team of direct reports and excellent interpersonal management skills; ability to work closely with members of different business groups and functions at all levels.
    • Excellent oral and written communication skills.
    • Experience working in the renewable energy industry.
    • Possession and application of strong negotiating, analytical, and interpersonal skills.
    • Self-motivated and capable of identifying and resolving legal and business issues, appropriately balancing legal issues with business risk.
    • Exceptional time management and organizational skills.
    COMPENSATION & BENEFITS
    A base salary range of $180,000 to $200,000, plus a stock incentives and benefits package.
